Legal Disclaimer for Companies and Clients Booking Models via ROMAN SKY COLLECTIVE
Representations and Warranties by the Client
By requesting, commissioning, or booking a model through ROMAN SKY COLLECTIVE, you represent and warrant that you will use the model and any delivered assets in compliance with all applicable laws and regulations. You confirm that your intended use does not violate privacy, publicity, trademark, copyright, or other third‑party rights. You agree to provide accurate project briefs, usage terms, and any required approvals in a timely manner.
Usage Rights and Licensing
Scope of License
Bookings are governed by a written usage agreement that specifies territory, duration, media, exclusivity, and permitted uses. Unless otherwise agreed in writing, ROMAN SKY COLLECTIVE facilitates a license from the rights holder of the model to the client for the expressly agreed uses only.
Commission and Fees
A 10% commission applies to placements sourced through ROMAN SKY COLLECTIVE and is calculated on the confirmed, paid booking fee. Additional production, licensing, or usage fees are agreed between the client and the rights holder and invoiced separately. Payment terms, invoicing and any deposits will be set out in the booking agreement.
Deliverables and Acceptance
Deliverables, formats and delivery timelines will be specified in the booking agreement. The client must review and accept deliverables within the agreed review period; failure to timely notify of defects constitutes acceptance.
Content Standards and Restrictions
No Real Person Impersonation
Clients must not use any model in a manner that implies the model is an identifiable real person, public figure, or celebrity unless the rights holder has provided explicit, verifiable consent and this consent is documented in the booking agreement.
Prohibited Uses
Models may not be used for unlawful, defamatory, pornographic, hateful, violent, or otherwise harmful content. Models may not be used to create deepfakes intended to deceive, impersonate, or mislead the public about real persons or events. Any use that materially misrepresents a real person or that violates applicable advertising, consumer protection, or data protection laws is prohibited.
Moral and Ethical Standards
Clients agree to uphold reasonable standards of taste and brand safety. ROMAN SKY COLLECTIVE reserves the right to refuse or suspend bookings that conflict with its brand safety policies or that present unacceptable reputational risk.
Indemnification and Liability
Indemnification
You agree to indemnify, defend and hold harmless ROMAN SKY COLLECTIVE, ROMAN SKY MEDIA GROUP and their affiliates, officers and agents from any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these representations, warranties or the booking agreement, or from your use of the model in violation of law or third‑party rights.
Limitation of Liability
To the fullest extent permitted by law, ROMAN SKY COLLECTIVE’s liability for any claim arising out of or related to a booking is limited to direct damages up to the total fees paid by the client for the specific booking. ROMAN SKY COLLECTIVE is not liable for indirect, incidental, consequential, punitive or special damages.
Termination, Dispute Resolution and Contact
Termination
ROMAN SKY COLLECTIVE may suspend or terminate access to a model or cancel a booking if credible claims of infringement, misrepresentation, or prohibited use arise, or if required by law. Termination does not relieve the client of payment obligations for services already rendered.
Dispute Resolution
Booking agreements will specify governing law and dispute resolution procedures. If no agreement is in place, parties will seek to resolve disputes in good faith and may pursue mediation before litigation.
